EV.PRO Terms of Use

1. Acceptance of these Terms

These Terms of Use ("Terms") govern your access to and use of https://ev.pro and any other website owned or operated by EV.PRO, Inc. that links to these Terms (the "Sites"), together with the content, tools and features offered through them. In these Terms, "EV.PRO," "we," "us" and "our" mean EV.PRO, Inc. and its subsidiaries and affiliates.

By accessing or using the Sites, you agree to these Terms and to our Privacy Policy, which explains how we collect and use personal information. If you do not agree, do not use the Sites.

If you use the Sites on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. Eligibility

The Sites are intended for businesses and for individuals who are at least 18 years old. By using the Sites, you represent that you meet this requirement and that your use complies with all applicable laws.

3. Use of the Sites

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Sites for your internal business purposes, including learning about our services and requesting quotes. You agree not to:

• Use the Sites in violation of any law or regulation, or to infringe the rights of others
• Submit false, misleading or incomplete information, or impersonate any person or organization
• Attempt to gain unauthorized access to the Sites, our systems or other users' information
• Interfere with or disrupt the Sites, including by introducing viruses or malicious code
• Scrape, crawl or otherwise collect data from the Sites by automated means without our written permission
• Copy, modify, distribute or create derivative works from the Sites or their content, except as these Terms allow
• Use the Sites to build a competing product or service

We may suspend or end your access to the Sites at any time, without notice, if we believe you have violated these Terms.

4. Accounts and Portal Access

We may offer customers, their authorized employees and our partners access to online accounts, dashboards or portals ("Portals") to view fleet, vehicle and service information, submit requests and manage their services. If we issue you login credentials:

• You must provide accurate, current information and keep it up to date
• You must keep your credentials confidential and not share them or use anyone else's
• You are responsible for all activity under your credentials
• You must notify us promptly at team@ev.pro if you suspect your credentials have been compromised or used without authorization

You may use a Portal only while you are authorized to do so by us and, if applicable, by the organization that requested your access. We may suspend or end Portal access at any time, including if you breach these Terms or your authorization ends. Your use of a Portal may also be subject to your organization's Service Agreement.

5. Quotes, Services and Separate Agreements

Information on the Sites about our vehicles, charging, maintenance and other services is for general information only. It is not an offer, commitment or guarantee of availability, pricing, performance or terms.

A quote or estimate requested through the Sites is non-binding. Any vehicles, services, leases, subscriptions or financing we provide are governed solely by a separate written agreement signed by you and EV.PRO or the applicable provider (a "Service Agreement"). If these Terms conflict with a Service Agreement, the Service Agreement controls.

Some products or financing may be offered with or by third parties, such as vehicle manufacturers, dealers, lenders, lessors, insurers and charging providers. Those offerings may be subject to the third party's own terms, credit approval and eligibility requirements. EV.PRO does not guarantee that any third party will approve or provide any product or financing.

Estimates of savings, total cost of ownership, vehicle range, charging needs or available incentives are illustrative only. They depend on your circumstances and are not financial, tax, legal or engineering advice. Grants, tax credits and other incentives are determined by the agencies that administer them, and we do not guarantee that you will qualify for or receive any of them. Any financing, lease or subscription is subject to credit review and approval.

6. Information You Submit

You are responsible for the accuracy of any information you submit through the Sites, including quote requests, fleet details and contact forms. Our handling of personal information is described in our Privacy Policy.

If you send us ideas, suggestions or feedback about our services, you grant us a perpetual, royalty-free, worldwide right to use them for any purpose, without obligation to you.

7. Intellectual Property

The Sites and their content, including text, graphics, images, logos, software and the EV.PRO name and marks, are owned by EV.PRO or its licensors and protected by intellectual property laws. EV.PRO® is a registered trademark. Except for the limited right to use the Sites in Section 3, no license or other right is granted to you. You may not use our names, logos or marks without our prior written consent.

8. Third-Party Links and Services

The Sites may link to or integrate websites, tools or services operated by third parties. We do not control and are not responsible for their content, availability, practices or terms. Your use of them is at your own risk and subject to their terms and policies.

9. Disclaimers

THE SITES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Sites will be uninterrupted, error-free or secure, or that any information on them, including vehicle specifications, range, savings estimates or incentive eligibility, is accurate, complete or current. Any warranties for our services are set out only in the applicable Service Agreement.

We use reasonable measures to protect information submitted through the Sites, but no transmission over the internet or method of storage is completely secure. You provide information at your own risk, and you are responsible for taking your own precautions against viruses and other harmful code.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EV.PRO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SITES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). This Section does not limit liability under a Service Agreement, which is governed by that agreement's own terms.

11. Indemnification

You agree to defend, indemnify and hold harmless EV.PRO and its affiliates, officers, directors, employees and agents from any claims, damages, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Sites, your violation of these Terms, or your violation of any law or third-party right.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising from or related to these Terms or the Sites will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page and change the "Last updated" date above. Changes take effect when posted. Your continued use of the Sites after that means you accept the updated Terms.

14. General

These Terms, together with our Privacy Policy, are the entire agreement between you and EV.PRO about the Sites, subject to any Service Agreement. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them without restriction. Sections 5 through 12 and 14 survive any termination of your access.
